Corporate and Securities

The Firm’s Corporate and Securities Department has extensive experience in corporate finance, mergers and acquisitions, purchase and sale of stock and assets, leveraged buyouts, reverse mergers, joint ventures and strategic alliances, license arrangements and corporate governance.

The securities practice of the Firm involves advising corporations and other legal entities of various types and sizes, including start-up companies, that are seeking to raise capital in the public and private markets. Additionally, we advise financial institutions, investment banks, venture capital firms and private investors. We handle private placements for private and public entities, initial public offerings, tender offers, and all SEC filings.

The corporate practice includes representation and advice with respect to corporate governance and structure, license agreements, loan and credit agreements, factoring agreements, letters of credit, employment contracts, third party service contracts, stock option plans and confidentiality and non-compete agreements.

We have represented clients in a wide variety of industries, including but not limited to, technology, advertising, healthcare and hospitals, retail, wholesale, communications, media, real estate, construction and manufacturing.

The Firm represents a number of start-up and early stage companies who have raised or seek to obtain sources of funding. Legal work performed for such companies generally includes review of business plans, preparation and negotiation of term sheets, subscription and stock purchase agreements for equity purchases by venture capital and angel investors, private placement memoranda, placement agent/underwriting and subscription documentation, structuring terms of securities and preparation of state and federal securities laws filings.
